Duties | The Board is responsible for the governance and overall performance of the organization. The responsibilites of the Board shall include: -comply with provisions of applicabile legislation, regulaions, and common law -appoint and supervise the Executive Director and delegate responsiblity and appropriate authority to carry out the responsibilities while ensuring accountability to the board -support, direct, evaluate and if necessary terminate the Executive Director -assume responsibility for succession planning for the Executive Director and the Board -ensure auditors are appointed annually by the members -examine and consider the report of the Auditors and the financial statements of the organization -establish and review the mission statement and the strategic plan -monitor risk, ensure implementation of systems to mitigate risk -ensure mechanisms are in place to provide high quality care to people with intellectual disabilites served by the organization |
